These Terms and Conditions ('Terms') apply to all wholesale credit accounts, online orders, and transactions between RC Direct Import ABN 56 670 407 496 ('RC Direct Import', 'we', 'us', or 'our') and the approved applicant or website user ('Customer', 'you', or 'your'). By submitting a credit application, accessing our website, or placing an order (online or otherwise), you agree to be bound by these Terms.

Acceptance of Terms

By accessing or using our website, creating an account, or placing an order through our online platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. If you do not agree to these Terms, you must not use the website or place any orders.

1. Terms of Payment

1.1. All approved credit accounts are strictly 30 days from the date of invoice, unless otherwise agreed in writing by RC Direct Import.

1.2. Payments must be made via direct deposit, EFT, or other accepted methods as stated on the invoice.

1.3. Interest may be charged on overdue accounts at a rate of 2% per month, calculated daily and compounded monthly, until payment in full is received.

1.4. RC Direct Import reserves the right to suspend or revoke credit facilities immediately upon written or emailed notice if payments are overdue or if your account is in breach of these Terms.

1.5. All prices listed on our website are in Australian Dollars (AUD) and exclude GST unless stated otherwise.

1.6. RC Direct Import reserves the right to correct any errors in pricing or product information and to cancel any orders affected by such errors, even after confirmation or payment, with a full refund issued if applicable.

2. Credit Account

2.1. Approval of a credit account is subject to a satisfactory credit assessment at our discretion.

2.2. You agree to provide complete and accurate information in your application and notify us promptly of any changes to your business or contact details.

2.3. RC Direct Import may vary or withdraw your credit limit at any time without prior notice.

2.4. You authorise RC Direct Import to conduct any necessary credit checks or trade reference verifications in relation to your creditworthiness.

2.5. RC Direct Import will handle all personal and credit information, including information collected through our website or online forms, in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy, which is available on our website.

3. Ownership of Goods (Retention of Title)

3.1. Ownership of the goods remains with RC Direct Import until full payment has been received and cleared for all amounts owing (including GST, interest, and any applicable fees).

3.2. The Customer acknowledges that this clause constitutes a security interest under the Personal Property Securities Act 2009 (Cth), and RC Direct Import may register this interest on the Personal Property Securities Register (PPSR).

3.3. In the event of non-payment or breach of these Terms, RC Direct Import reserves the right to enter your premises during normal business hours and reclaim possession of any goods that remain unpaid, upon reasonable notice.

4. Delivery and Risk

4.1. RC Direct Import will make all reasonable efforts to deliver goods by the agreed timeframe; however, we are not liable for any delay or failure to deliver due to events beyond our control.

4.2. Risk in the goods passes to you upon dispatch from our warehouse or upon collection, whichever occurs first.

4.3. Unless otherwise agreed in writing, freight is arranged at the Customer’s risk and expense.

4.4. Goods are deemed accepted unless written notice of discrepancy or damage is provided within 48 hours of delivery.

5. Website Orders and Use

5.1. Orders placed through our website constitute an offer to purchase goods in accordance with these Terms.

5.2. RC Direct Import reserves the right to accept or reject any order for any reason, including errors in product descriptions, pricing, or stock availability.

5.3. Product images and descriptions on our website are provided for illustrative purposes only. Actual products may vary slightly.

5.4. RC Direct Import may update, modify, or remove website content at any time without notice.

5.5. You agree not to misuse the website or interfere with its security, functionality, or integrity.

6. Returns and Claims

6.1. Returns are only accepted with prior written approval, if made within 14 days of delivery, and if goods are in original, resalable condition.

6.2. A restocking fee of up to 15% may apply at RC Direct Import’s discretion for non-faulty returns.

6.3. Return freight for non-faulty goods is the responsibility of the Customer.

6.4. Faulty or incorrectly supplied goods will be replaced or refunded in accordance with the Australian Consumer Law (ACL).

6.5. Change-of-mind or overstock returns are not accepted unless otherwise agreed in writing.

7. Compliance with Laws

7.1. All transactions are governed by the laws of the State of Queensland, Australia.

7.2. Nothing in these Terms is intended to exclude any rights or remedies available under the Competition and Consumer Act 2010 (Cth) or other applicable Queensland or Australian legislation that cannot be excluded by law.

7.3. Any disputes arising from use of our website or online sales shall be governed by the laws of Queensland, Australia.

7.4. Any proceedings shall be brought in the courts of Queensland, Australia.

7.5. If any provision of these Terms is found invalid or unenforceable, the remainder shall remain in full force and effect.

8. Limitation of Liability

8.1. RC Direct Import will not be liable for any indirect, consequential, or incidental damages (including loss of profits or opportunity) arising out of or in connection with the supply or failure to supply goods.

8.2. Our liability for any breach of condition or warranty (whether express or implied) is limited to the replacement or repair of the goods or the refund of the purchase price, at our discretion.

8.3. In no event shall RC Direct Import’s total liability exceed the amount paid by the Customer for the goods in question.

9. General

9.1. RC Direct Import may amend these Terms at any time by providing written, emailed, or published notice on our website.

9.2. These Terms constitute the entire agreement between the parties and supersede any prior negotiations or agreements.

9.3. Failure by RC Direct Import to enforce any provision shall not be deemed a waiver of that provision or any other rights.

9.4. Notices under these Terms may be provided via email, post, or other electronic communication to the last known contact details of the other party.

9.5. The Customer may not assign or transfer its rights or obligations under these Terms without the prior written consent of RC Direct Import.

10. Personal Guarantee (if applicable)

Where the Customer is a company or trust, the undersigned guarantors jointly and severally guarantee payment of all amounts owing by the Customer under these Terms and agree to be bound by these Terms as if they were the Customer.
